Terms of Service

1 Definitions

• "UCX360", "we", "us", "our" — UCX360, the operator of the platform and website.
• "Service" — the UCX360 software platform, website, APIs, and any related services.
• "User", "you" — any individual or organisation accessing or using the Service.
• "Workspace" — a logical tenant environment within the UCX360 platform.
• "Subscription" — a paid or trial plan granting access to the Service.

2 Acceptance of Terms

By creating an account, accessing the Service, or clicking to accept these terms, you confirm that you have read, understood and agree to be bound by these Terms of Service, including our Privacy Policy and Cookie Policy, all of which are incorporated herein by reference.

If you are accepting these terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these terms.

3 Account Registration

To access certain features of the Service, you must create an account. You agree to:

• Provide accurate, current and complete information during registration.
• Maintain the security of your account credentials and not share them with third parties.
• Notify us immediately of any unauthorised access or breach at sales@ucx360.com.
• Be responsible for all activities that occur under your account.

UCX360 reserves the right to suspend or terminate accounts that violate these terms or engage in fraudulent activity.

4 Permitted Use

UCX360 grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your internal business operations, subject to these Terms. You must not:

• Use the Service for any unlawful purpose or in violation of any applicable law or regulation.
• Attempt to gain unauthorised access to any part of the Service or its infrastructure.
• Reverse engineer, decompile, disassemble or otherwise attempt to derive the source code of the Service.
• Modify, copy, distribute, transmit, display or create derivative works of the Service without prior written consent.
• Use the Service to transmit spam, malware, or any harmful or unsolicited content.
• Resell, sublicense or commercially exploit access to the Service without a written partner agreement.
• Use automated tools to scrape, crawl or extract data from the Service without authorisation.

5 Subscriptions & Billing

Access to the UCX360 platform is provided on a subscription basis. By subscribing, you agree to pay the applicable fees as described at the time of purchase.

• Subscription fees are charged in advance on a monthly or annual cycle, depending on the plan selected.
• All fees are exclusive of applicable taxes, which will be added where required by law.
• UCX360 reserves the right to modify pricing with at least 30 days' prior written notice.
• Failure to pay may result in suspension or termination of the Service.

Refunds are evaluated on a case-by-case basis. To request a refund, contact sales@ucx360.com.

6 Intellectual Property

UCX360 and its licensors retain all intellectual property rights in the Service, including all software, logos, trademarks, designs and documentation. Nothing in these Terms transfers any intellectual property rights to you.

You retain ownership of all data you input into the Service. You grant UCX360 a limited licence to process your data solely to provide and improve the Service as described in our Privacy Policy.

7 Data & Privacy

Your use of the Service is subject to our Privacy Policy and, where applicable, our GDPR Compliance Statement. We are committed to processing your data lawfully and securely.

You are responsible for ensuring that any personal data you upload or process through UCX360 is done so in compliance with applicable data protection laws, including GDPR.

8 Service Availability & SLA

UCX360 strives to maintain high platform availability. However, we do not guarantee uninterrupted, error-free access to the Service. Planned maintenance will be communicated in advance where possible.

Specific uptime commitments, if any, are defined in the Service Level Agreement (SLA) applicable to your subscription plan.

9 Disclaimer of Warranties

The Service is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

UCX360 does not warrant that the Service will meet your specific requirements or that it will be free of errors, viruses, or other harmful components.

10 Limitation of Liability

To the fullest extent permitted by applicable law, UCX360 shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill or business interruption, arising out of or in connection with your use of the Service.

UCX360's total aggregate liability arising from or related to these Terms shall not exceed the total fees paid by you to UCX360 in the twelve (12) months preceding the claim.

11 Termination

Either party may terminate the subscription at any time. You may cancel your account through the platform settings or by contacting us at sales@ucx360.com.

UCX360 may suspend or terminate your access immediately, without prior notice, if you breach these Terms, engage in fraudulent activity, or fail to pay applicable fees.

Upon termination, your right to use the Service ceases immediately. We will retain your data for a limited period as required by law before securely deleting it.

12 Modifications to Terms

UCX360 reserves the right to modify these Terms at any time. We will notify you of material changes by email or by displaying a notice within the platform at least 14 days before the changes take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.

13 Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with the laws of the Netherlands, without regard to its conflict of law provisions. You irrevocably submit to the exclusive jurisdiction of the competent courts of the Netherlands for any disputes arising from or in connection with these Terms.
